Due Diligence

Bojinov & Bojinov provides due diligence in a number of concepts involving either an investigation of a business or person prior to signing a contract and preparation legal statements with a certain standard of care. A common example is the process through which a potential acquirer evaluates a target company or its assets for acquisition. We keep to the internationally established framework of due diligence process which involves distinct areas, including: compatibility audit; financial audit; macro-environment audit; legal audit; marketing audit; production audit; management audit; information systems audit and reconciliation audit (for consolidation of the other audits in final statement).

Due diligence in civil procedure is also applied as a reasonable investigation necessary before certain kinds of relief are requested. A specific type of due diligence is information security due diligence, undertaken for information technology procurement process to ensure risks are known and managed and during mergers and acquisitions reviews to identify and access business risks.
